DJH reinforces its ‘built environment’ credentials with Arcus’ sale to Baily Garner

A Manchester corporate finance specialist has boosted its reputation in the built environment after advising on its second deal in this space within twelve months.

DJH Corporate Finance, which is based on Peter Street in the city, worked with the owners of Arcus Consulting LLP to undertake a comprehensive marketing process, culminating in its sale to Baily Garner LLP.

The transaction brings together two experts in multidisciplinary construction with specialisms in delivering social housing, education and regeneration projects across the UK.

Together, the enlarged business will enjoy a stronger presence across the North of England and provide greater career opportunities for the new combined team.

The DJH deal team was led by Jon Else (Partner) and Lewis Pearson (Director), with support from Heeral Ruparelia (Manager).

“DJH has been Arcus Consulting’s accountants for a number of years, so there was a long-standing relationship already in place,” explained Jon Else.

“The owners were looking to secure the long-term future for Arcus and approached us to see if we could find the right business to acquire and take them forward. This process began with a full marketing exercise and significant early interest, during which we identified Baily Garner as the ideal partner.”

He continued: “Being able to look after everything under the DJH banner – bringing in different tax and finance experts when required – ensured a smooth process for our client and that we could deal with some of the complexities around the purchase of the full LLP interests.”

Clive Sellers, Managing Partner, Arcus, added his thoughts: “Baily Garner and Arcus have a joint vision to deliver excellence in the built environment through client-focused solutions, and this acquisition significantly strengthens our ability to achieve just that.

“It was important to join an organisation with a positive culture and a sustainable plan for the future. We’re excited to combine our resources, expertise and ambition to tackle the challenges facing our clients in creating the buildings and spaces of the future.

“DJH has been a fantastic source of advice and guidance throughout the transaction, with its experience in the ‘built environment’ proving vital in finding the right buyer.”

DJH has enjoyed a strong twelve months, playing a lead role in important deals for Stockport-based IPEC Ltd and S&S Steelstock in Willenhall.

In addition to manufacturing, technology and professional services, the corporate finance team is also proving a popular partner for companies involved in the ‘built environment, acting as lead advisers to 3BM Group on its acquisition by RSK.

Enquiries are being taken in this field, with more private equity entering the marketplace and triggering an increase in M&A activity and consolidation.

Jon continued: “There has been a spike in firms approaching us from the property, construction and architectural sectors and with this second transaction successfully completed, we feel we are well placed to advise clients in these sectors that may be looking to acquire or sell.”

Bradley Webster, Managing Partner of Baily Garner, concluded: “Arcus has built a culture around delivering high standards of client care while also prioritising the wellbeing and development of its people, making it a perfect fit for our business.”

As part of this acquisition, Arcus Consulting LLP will become part of Baily Garner LLP. Existing relationships, contracts, and points of contact at both businesses will remain unchanged.

Keith Melling and Dominique Moore of Napthens Solicitors provided legal advice to Clive Sellers and Andrew Greenwood, owners of Arcus Consulting.
