Emanuel Whittaker Transitions to Employee Ownership Trust After 188 Years

Emanuel Whittaker, a historic construction firm based in Greater Manchester, has transitioned to an Employee Ownership Trust, ensuring its continued independence. The move was supported by accountancy firm Xeinadin.

Founded in 1837, Emanuel Whittaker has been instrumental in shaping local infrastructure, from restoring social housing to delivering major regeneration projects across the North West. The company has a long-standing commitment to local talent, providing apprenticeships and training opportunities for young people.

Managing director Clive Newton joined the Oldham-based firm in 1966 as an office boy, while co-director John Gallagher started nine years later. The two have worked together for more than 50 years and acquired the business in 2004 from Thomas Whittaker, the founder’s great-grandson.

After two decades of ownership, Newton and Gallagher opted for employee ownership, a model that prioritises continuity, local employment, and staff wellbeing.

Clive Newton said: “This firm has always been about people and place. We’ve trained generations, supported subcontractors and suppliers and built real trust in our communities.

“Moving to employee ownership means those values don’t get lost. It’s about giving something back and making sure the legacy lives on in the right hands. After nearly 60 years with Emanuel Whittaker, I couldn’t face seeing the company sold off to someone who might close the doors, absorb it into something unrecognisable or redevelop the site.”

Xeinadin oversaw the transition to full employee ownership, structuring the trust to provide long-term financial security while giving employees a meaningful stake in the business. The trust is governed by an independent chair, with employee trustees contributing to key decisions.

Michael Butt, partner at Xeinadin, said: “Supporting Emanuel Whittaker through this transition was about more than financial structuring. We helped the business stay true to its values while securing long-term stability.

“For many SME owners, the challenge is finding a succession route that protects both people and purpose. Employee ownership can offer a practical, sustainable path forward, and with the right advice, it’s more accessible than many assume.”
